Terms & Conditions

These Terms and Conditions ("Terms") govern the provision of all services and products ("Services") by The Caring Physician LLC ("Company," "we," "us") to you, the client ("Customer," "you"). By engaging our Services, you agree to be bound by these Terms in their entirety.
1. Intellectual Property Rights
1.1. Off-the-Shelf Content: All pre-existing materials, including but not limited to templates, articles, educational modules, and other content available for general purchase ("Off-the-Shelf Content"), are and shall remain the sole and exclusive intellectual property of The Caring Physician LLC. Upon purchase, the Customer is granted a limited, non-exclusive, non-transferable license to use the Off-the-Shelf Content for internal educational and operational purposes. This license does not grant any rights for resale, distribution, or creation of derivative works without the express written consent of the Company.
1.2. Bespoke Content and Instructional Design Services: For services involving the custom creation of new materials specifically for a Customer ("Bespoke Content"), all intellectual property rights, including copyright, ownership, and rights of commercial use of the final products, shall transfer to the Customer. This transfer of rights is expressly contingent upon the Company's receipt of the final and full payment for the associated project. Prior to receipt of final payment, all drafts, concepts, and developed materials remain the intellectual property of The Caring Physician LLC.
2. Revisions and Additional Work
The scope of work for any project will be defined in a corresponding Statement of Work or project agreement. Any requests for additional information, content, or adjustments to the final product after delivery are at the sole discretion of The Caring Physician LLC. Minor clerical or factual corrections will be considered on a case-by-case basis. Substantive changes, additions, or revisions outside the original scope of work may be subject to additional charges, which will be quoted and must be agreed upon in writing before work commences.
3. Data Privacy and Compliance
The Caring Physician LLC does not produce, distribute, or transmit any Personally Identifying Information (PII) or Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA) of 1996, its subsequent amendments, or other applicable State, local, or federal privacy regulations or statutes. The Customer is solely responsible for ensuring that no such regulated information is shared with the Company.
4. Disclaimer of Medical Advice and Limitation of Liability
4.1. Intended Audience: All materials and products produced by The Caring Physician LLC are provided directly to licensed clinicians, healthcare educators, and healthcare organizations for educational and informational purposes only.
4.2. No Medical Advice: The content provided does not constitute the provision of medical advice by The Caring Physician LLC and is not intended to create a physician-patient relationship. The materials are intended to support the knowledge of qualified healthcare professionals, who must exercise their own independent clinical judgment.
4.3. Assumption of Risk: The Customer and any end-users assume full responsibility for the use and implementation of any information or materials provided by the Company. The Caring Physician LLC assumes no responsibility or liability for any harm, injury, or damages, whether direct or indirect, caused or alleged to be caused by the use or interpretation of such materials or products.
5. Governing Law
These Terms and any dispute arising from the Services provided shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.
6. Entire Agreement
These Terms, together with any applicable Statement of Work, constitute the entire agreement between The Caring Physician LLC and the Customer and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
